1. Acceptance of Terms

By accessing or using Calculus ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Calculus. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Service Description

Calculus is an AI-powered interview copilot that provides real-time assistance during job interviews. The Service includes:

• Real-time audio transcription and analysis of interview conversations.
• AI-generated suggested responses and talking points.
• Resume and job description analysis for interview preparation.
• A desktop application with screen-share protection features.
• A web-based interface accessible through modern browsers.

The Service is provided as a tool to assist with interview preparation and performance. We do not guarantee any specific outcomes, including job offers or interview success.

3. Account Responsibilities

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized access to your account.
• Ensuring that your account information remains current and accurate.

You must be at least 16 years of age to create an account and use the Service.

4. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You must not:

• Share your account credentials with others or allow others to access the Service through your account.
• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the Service's infrastructure or other users' access.
• Use automated tools, bots, or scripts to access the Service without authorization.
• Resell, sublicense, or redistribute the Service or any part of it.
• Use the Service in a way that violates the policies or terms of the platform on which your interview is conducted.

5. Subscriptions, Credits, and Billing

Subscription plans: The Service is offered through various subscription tiers, each with different features and usage limits. Details of available plans and pricing are displayed on our website.

Free trial: We may offer a free trial period for new users. At the end of the trial, you will need to subscribe to a paid plan to continue using the Service. We will notify you before the trial expires.

Credits: Certain features of the Service consume credits. Credits are allocated based on your subscription plan and may be purchased additionally. Unused credits do not roll over between billing periods unless stated otherwise.

Billing: Subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan). Payment is processed through our third-party payment provider.

Refunds: Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access to the Service for the remainder of your current billing period. Refund requests for exceptional circumstances may be considered on a case-by-case basis.

6. Creator / Referral Program

Calculus offers a Creator Program that allows approved participants ("Creators") to earn commissions by referring new users to the Service. By participating, you agree to the following terms:

Commission structure: Creators earn a percentage of qualifying purchases made by users who sign up through their unique referral link or promo code. Commission rates range from 8% (Bronze) to 18% (Platinum) based on performance tier:

• Bronze: 8% recurring commission (starting tier)
• Silver: 10% recurring commission (25+ conversions)
• Gold: 14% recurring commission (100+ conversions)
• Platinum: 18% recurring commission (500+ conversions)

Referral tracking: Referral attribution uses a 30-day last-click cookie. Users may also manually enter a referral code at signup. If another creator's link is clicked after yours, the most recent click wins attribution.

Tier permanence: Once a tier is reached, it is permanent and never downgrades. Conversion counts are lifetime.

Payouts: Commissions are held for 30 days after the customer's purchase to protect against refunds. Minimum payout threshold is $50. Payouts are processed weekly. We reserve the right to withhold payouts if fraudulent activity is suspected.

Prohibited practices: Creators must not:

• Use misleading, deceptive, or false advertising to promote the Service.
• Self-refer or create fake accounts to generate commissions.
• Bid on Calculus brand terms in paid search advertising.
• Spam or send unsolicited messages to promote their referral link.
• Misrepresent their relationship with Calculus or imply official endorsement.

We reserve the right to terminate your participation in the Creator Program and forfeit pending commissions if you violate these terms.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and AI models — are owned by Calculus and are protected by intellectual property laws.

You retain ownership of any content you upload to the Service (such as resumes and documents). By uploading content, you grant us a limited, non-exclusive license to process it as necessary to provide the Service.

AI-generated responses produced during your sessions are provided for your personal use. You may use them freely, but we make no claims regarding their originality or suitability for any purpose.

8. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the accuracy, completeness, or usefulness of AI-generated responses. You are solely responsible for how you use the information provided by the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or any applicable laws.
• Fraudulent or abusive activity.
• Non-payment of subscription fees.
• Extended periods of inactivity.

You may terminate your account at any time by contacting us or using the account settings. Upon termination, your right to use the Service ceases immediately, and your data will be handled in accordance with our Privacy Policy.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of the State of Delaware, United States.
